It's one processor with two physical cores. Not like hyperthreading, which is a trick to let one CPU core run two threads simultaneously (albiet slowly), nor is it quite like a true SMP system with multiple physical CPU packages either. If you're asking in the context of Windows, the licensing is based on physical CPU count, not on the amount of cores in each CPU. Hope this helps.

^well yes, kinda, it is hard to explain. Just because it is basically two cpu's you don't ad the clocks together though, like a 3.0ghz dual core is not really 6.0ghz because it is a dual core, both cores run at 3.0ghz and you do not add them together.
