MSI GTX-650 problem NEED HELP !!!

I have a brand new MB Asrock Z77 Extreme4-M and a Video card MSI GTX-650.
Once I install the videocard, the PC does not start and there are 5 short beeps.
I tried this Motherboard with other PCI-E cards - works fine.
Integrated video works fine as well.
I tried this graphic card (MSI GTX-650) in another motherboard - works fine. I cannot claim the warranty because both parts work well.
Tried to replace the power supply - does not help, the same 5 beeps.
Please advise what can I do there.......

What Bio's do you Have ? I am not a fan of AsRock motherboards...They are made poorly...5 short beeps, usually means cpu or ram..

Hi, it is AMI BIOS. Please note the Mb works fine with another graphics card as well as with the integrated Intel graphics.

On an AMI Bio's, 5 short beeps mean Processor failure..
